PARTICIPATION LIMITED TO PARTNERS OF THE INTEL PARTNER ALLIANCE PROGRAM

THIS CHALLENGE SHALL BE CONSTRUED ACCORDING TO AND GOVERNED EXCLUSIVELY BY U.S. LAW

VOID WHERE PROHIBITED OR RESTRICTED BY LAW

1. ELIGIBILITY: Participation in this Intel Partner Alliance - Power Up with Intel (the “Challenge” or “Promotion”) is limited to individuals (natural persons) who are registered contacts of the Intel Partner Alliance Program, and legal age of majority in their jurisdiction of residence at time of entry ( “Entrant”). Void in all countries embargoed by the United States and where prohibited or restricted by law. Intel Corporation (the “Sponsor”), Meetings & Incentives Worldwide, Inc. (the “Administrator”), their parent companies, affiliates, subsidiaries, promotion agencies, and each of their respective directors, officers, employees and assigns (collectively “Released Parties”) and their immediate family members and/or those living in the same household of each (whether related or not) are not eligible to participate or win a prize. For purposes of this Challenge, the term “family member” is defined as spouse, partner, parent, legal guardian, in-law, grandparent, child, or grandchild. Also, ineligible to participate are any individuals who are under any obligation, contractual or otherwise, that would prohibit them from accepting a prize. Entrants must comply with any employer rules or requirements, if applicable, regarding participation in the Challenge.

Notice to all international entrants: This Challenge is governed exclusively by U.S. law. It is your responsibility to comply with the promotion laws of your country/jurisdiction. You acknowledge that certain countries/jurisdictions have laws that may prohibit the Sponsor/Administrator from awarding you a prize. If you participate in this Challenge and the country/jurisdiction in which you reside has such restrictions, you acknowledge that you may not be able to receive any reward/prize at all from Sponsor/Administrator.

2. AGREEMENT TO THESE TERMS AND CONDITIONS: Participation in this Challenge constitutes entrant’s full and unconditional agreement to and acceptance of these Terms and Conditions and Sponsor’s/Administrator’s decisions which are final and binding. This Challenge is subject to the terms and conditions of the Intel Partner Alliance Program. Winning a prize is contingent upon fulfilling all applicable requirements set forth herein.

TIMING: The Challenge begins at 12:00:01 AM Pacific Time (PT) on October 23, 2023 and ends March 31, 2024 at 11:59:59 PM PT (the “Promotion Period”).

HERE’S HOW IT WORKS: During the Promotion Period, log in using your Intel® Partner Alliance credentials at http://powerupwithintel.com and follow the instructions to opt in to power up Silicon City in the Power Up with Intel game by completing identified training courses and competencies through Intel® Partner University. Prizes consist of $100 USD gift card to a local merchant, gift cards are not redeemable for cash.

Individuals who sign up for the Power Up with Intel game have multiple opportunities to win:

CITY BLOCKS COMPETITION: The first 100 participants during the challenge period to complete their first 3 city blocks in the “Power Up with Intel Game” will earn a $100 USD gift card. Winners will be notified by May 1, 2024.

CLOUD CERTIFICATION COMPETITION: The first 75 participants during the challenge period to complete the Cloud Certification on Intel Partner University to include, Cloud Fundamentals, Cloud Technical Professional, Cloud Business Professional and Cloud Solutions Architect will earn up to one (1) $100 USD gift card. Winners will be notified by May 1, 2024.

RAFFLE: Raffle entries are earned for the opportunity to win 1 (one) of 5 (five) Intel based laptop raffles, each laptop is valued at up to $2000 USD. A minimum of 1 ticket must be earned during the qualification period to be entered into the drawing. Eligible participants who did not win the raffle in any qualification period are automatically entered into the next drawing (all tickets are carried forward), as long as they earn a minimum of 1 ticket during that qualification period.

Participants may only win one raffle. Raffle winners may still be eligible for a gift card if earned.

Raffle entry tickets are earned with the following activities:

• Participants taking their first Intel Partner University course in the 2023 calendar year who complete their first city block in the Power Up with Intel game will earn 1 raffle ticket entry (maximum of 1 ticket)
• Completing a row of tokens (8 tokens) in the Power Up with Intel game will earn 1 raffle ticket entry (maximum of 6 tickets)
• Each city block completed in Power Up with Intel game will earn 1 raffle ticket entry (maximum of 7 tickets)
• Participants will get 1 raffle ticket for each Red Chip played in game and they earn 3 chips for completing a Competency or Certification (maximum of 6 tickets)
• Participants who complete the full city with all city blocks lit in the Power Up with Intel game will earn double the number of raffle ticket entries they have earned to that point (maximum of 20 additional tickets)

Participants who have completed the game (all city blocks powered on) and have earned all the raffle tickets possible, are eligible to be entered in the February and March raffle drawings if they complete a minimum of six (6) Intel Partner University training courses per monthly training period. No additional raffle tickets will be awarded but the total tickets earned will be included within the drawing(s), and course completions will be tracked and managed separately.

Timing of laptop raffle drawings: Each raffle drawing for be for one (1) Intel gaming laptop.

ELIGIBLE COUNTRIES: Participants must reside in the following countries/regions in order to be eligible to receive a prize: United States of America, Canada, Puerto Rico, American Samoa, United Kingdom, Netherlands, Germany, Belgium, Italy, Sweden, Greece, Spain, France, Denmark, Switzerland, India, Australia, New Zealand, Taiwan, Malaysia, Philippines, Vietnam, Singapore, Indonesia, Thailand, United Arab Emirates, South Africa, Israel, Saudi Arabia, Egypt, Japan, Lithuania, Latvia, Finland, Ireland, Portugal, Estonia, Norway, Austria, Luxembourg, Iceland, Korea (the Republic of Korea), Pakistan, Bangladesh, Sri Lanka:

People’s Republic of China, which includes China and Hong Kong.

3. NOTIFICATION AND VERIFICATION PROCESS: All winners are subject to verification of eligibility. Winners will be notified via email with instructions on how to claim a prize. Failure to respond to a winner notification or properly execute and return any required information/documents within the stated period, or by June 1, 2024 or if a winner declines a prize, then such Entrant will be disqualified, and an alternate winner may be determined. Sponsor reserves the right to disqualify any Entrant at any time, in their sole discretion, in the event circumstances arise that would constitute a breach of these Terms & Conditions or otherwise. These Terms and Conditions are binding on you and your employer. By participating in the challenge, you acknowledge your employer has consented to your participation and your potential receipt of a reward/prize. It is a Partner’s sole responsibility to comply with his/her employer’s gift policies. Sponsor will not be party to any disputes or actions related to this matter.

Prize will be emailed or shipped to the address provided by the winner at time of redemption. All federal, state, provincial, local, and other tax liabilities (including income and withholding taxes) and any other taxes in connection with receipt of a prize will be the responsibility of the winners. If there is any restriction to receiving a prize in the country of a winner, an alternate prize may be provided. Winners acknowledge that Sponsor is subject to U.S. economic restrictions and trade sanctions; as such, Sponsor reserves the right to deny distribution of any prize when required by applicable law. No transfer or substitution of prize by winner permitted. Sponsor reserves the right where lawful to substitute a prize or any component thereof for one of equal or greater value if the designated prize should become unavailable for any reason. All costs and expenses associated with prize acceptance and use not specified herein are the sole responsibility of the winner.

Prizes will be awarded “as is” with no warranty or guarantee, either express or implied offered by Sponsor. All guarantees and warranties for prizes, if any, are subject to the respective manufacturer’s terms and conditions, and winner agrees to look solely to such manufacturer for any such warranty or guarantee claim. In addition, any brands named within the prize offering are not participants in or a sponsor of the Promotion. Sponsor is not responsible for damage to a prize or loss of a prize after the prize has been emailed/shipped to a confirmed winner. In no event will Sponsor provide any additional compensation to any participant other than the prize being offered. Any prize that is awarded in the form of a gift certificate or gift card is not redeemable for cash and is subject to all terms and conditions of the issuer. Sponsor is not responsible for, and will not replace, any lost, damaged, or stolen prize or prize component or any prize that is undeliverable. No returns, exchanges, or refunds will be provided for any prizes.

4. GENERAL CONDITIONS: The Sponsor may in its sole discretion amend these Terms and Conditions at any time, without notice, and such amendment(s) shall be deemed to have taken effect from the date of publication of the revised Terms and Conditions. Sponsor may assign, delegate, subcontract, or transfer any of its rights or obligations hereunder and may authorize any direct or indirect affiliate of Sponsor to act as Sponsor’s agent for purposes of this Promotion, including fulfillment of prizes. Administrator has no obligation to permit entry or award a prize if doing so would violate the policies or is prohibited by United States or other applicable laws, including but not limited to laws regarding (a) trade embargoes, (b) government sanctions or export restrictions against countries, entities, or individuals, or (c) dealings with officials or representatives of non-U.S. governments. The Administrator’s determination that an entrant is (or is not) legally prohibited from entering or receiving a prize will be conclusive, and Administrator shall have no liability to any Entrant or any other person in connection with such determination. The English language version of these Terms and Conditions shall prevail over any translation. If there is a conflict between these Terms and Conditions and other Promotion materials, the Terms and Conditions shall prevail.

5. RELEASES: By participating in this Promotion, where allowed by law, you (a) agree to the use of your information in accordance with Intel Corporation’s Privacy Policy, (b) grant us permission to use your name, photograph, voice, videotape, and likeness for purposes of advertising and publicity in all media worldwide without further compensation or notice, (c) waive all rights to claim punitive, indirect, incidental and consequential damages, attorneys’ fees or any damages other than actual out-of-pocket costs incurred to participate in the Promotion, and (d) agree to release, discharge and hold harmless Released Parties from and against any and all liability, loss, injuries or damages or disappointment of any kind resulting in whole or in part, directly or indirectly, that may arise out of or is in any way associated with your participation in (or inability to participate in) this Promotion, including without limitation, the earning of Tokens or the acceptance, possession, use or misuse of any prize received in this Promotion.

6. LIMITATIONS OF LIABILITY: Released Parties are not responsible or liable for any of the following: (a) any problems or technical malfunctions, errors, omissions, interruptions, deletions, defects, delays in operation or transmission, communication failures and/or human error that may occur in the transmission, receipt or processing of entries or related materials; or for destruction of or unauthorized access to, or alteration of, entries or related material; (c) failed or unavailable hardware, network, software or telephone transmissions, damage to any person’s computer and/or its contents related to or resulting from participation in this Promotion; or (d) causes beyond Sponsor’s/Administrator’s reasonable control that jeopardize the administration, security, fairness, integrity or proper conduct of this Promotion; (e) any printing errors in these Terms and Conditions, the sites used to administer this Promotion, or in any advertisements, materials, or correspondence in connection with this Promotion; or (f) any copyright, trademark, patent, trade secret, or other intellectual property misappropriation or infringement attributable to Entrant/or any entry material submitted. Sponsor reserves the right to freeze or close an account or to prohibit the participation of an individual if fraud or tampering is suspected or if the individual fails to comply with any requirement of participation as stated herein or with any provision in these Terms and Conditions. Sponsor and/or the Administrator cannot guarantee the performance of any third party and shall not be liable for any act or default by a third party. Sponsor reserves the right to cancel, suspend and/or modify this Promotion if it cannot be executed as planned for any reason or event beyond Sponsor’s control, including but not limited to a Force Majeure event or occurrence, an “act of God” (e.g., natural disaster, etc.) or an unforeseeable health event (e.g., pandemic) making it inadvisable, impractical, impossible or illegal or which materially affects a parties ability to perform its obligations under this agreement in whole or in part, or if fraud, technical failures, human error or any other causes beyond the reasonable control of the Sponsor impairs the integrity or proper functioning of the Promotion, as determined by Sponsor in its sole discretion. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROMOTION IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, ADMINISTRATROR RESERVES THE RIGHT TO SEEK DAMAGES OR OTHER REMEDIES FROM ANY SUCH PERSON(S) RESPONSIBLE FOR THE ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW.

7. GOVERNING LAW/JURISDICTION: This Promotion is governed by US law and is subject to all applicable federal, state, provincial and local laws, and regulations. THE DELAWARE COURTS (STATE AND FEDERAL) SHALL HAVE SOLE JURISDICTION OF ANY CONTROVERSIES REGARDING THE PROMOTION AND THE LAWS OF THE STATE OF DELAWARE SHALL GOVERN THE PROMOTION. EACH ENTRANT WAIVES ANY AND ALL OBJECTIONS TO JURISDICTION AND VENUE IN THOSE COURTS FOR ANY REASON AND HEREBY SUBMITS TO THE JURISDICTION OF THOSE COURTS. Claims may not be resolved through any form of class action. Entrant agrees that any and all claims, judgments, and awards shall be limited to the lower of either reasonable or actual out of pocket costs incurred, including any costs associated with participation in this Promotion but in no event attorneys' fees; and under no circumstances will Entrants/winners be permitted to obtain awards for and Entrants/winners hereby waive all rights to claim punitive, incidental and consequential damages and any other damages, other than for the lower of either reasonable or actual out-of-pocket expenses and any and all rights to have damages multiplied or otherwise increased. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. If any provision of these Terms and Conditions is invalid under the law, rules, or regulations of a particular country, it will only apply to the extent permitted. In addition to the tax liability disclosures in these Terms and Conditions, Promotion winners are subject to abide by the income reporting and, if applicable, the payment of any taxes due per the laws, rules, and regulations of the winners’ country of residence. By participating in the Promotion, Entrants hereby expressly agree and accept that for all that is related to the interpretation, performance and enforcement of these Terms and Conditions, each of them expressly submits themselves to the laws of the United States of America and the State of Delaware, expressly waiving to any other jurisdiction that could correspond to them by virtue of their present or future domicile or by virtue of any other cause.

8. PERSONAL DATA: Information collected from entrants is subject to Intel’s Privacy Policy, which can be found at http://www.intel.com/content/www/us/en/privacy/intel-privacy-notice.html. Administrator assures that your information will be kept confidential in accordance with data protection regulations fulfilling the applicable requirements of EU data protection law. Data will be stored in the United States and may be shared with a third-party fulfillment company only to administer this Promotion, verify winners, and fulfill prizes unless you have given your prior express consent to receive additional information from Sponsor or a third party.

9. WINNERS LIST: For the names of the winners, available after June 1, 2024, email intelpartnertraining@meetings-incentives.com with an email subject of “INTEL® PARTNER ALLIANCE Sweepstakes Winners”.

10. MISCELLANEOUS: The invalidity or unenforceability of any provision herein shall not affect in any way the validity and enforceability of any other provision in these Terms and Conditions.
